Section 8 Company Registration

1. Obtain Digital Signature Certificate (DSC)

The proposed directors and members need to obtain DSCs for submitting electronic forms.

2. Apply for Director Identification Number (DIN)

DIN is required for all proposed directors. Apply through the MCA portal.

3. Draft Memorandum and Articles of Association (MOA and AOA)

Prepare MOA and AOA reflecting the non-profit objectives and internal regulations of the company.

4. Apply for Section 8 License

File Form INC-12 with the ROC to apply for a license under Section 8. Attach the MOA, AOA, and other required documents to the application.

5. Submit Incorporation Forms

After receiving the Section 8 license, file the incorporation forms (Form INC-32) with the ROC to complete the registration process.

6. Obtain Certificate of Incorporation

Once the application is approved, the ROC will issue a Certificate of Incorporation, formally establishing the Section 8 Company.

1. Identity Proof: PAN card, passport or other government-issued ID of the proposed directors and members.

2. Address Proof: Utility bills, rent agreements or property tax receipts for the registered office and residential addresses.

3. Digital Signature Certificate (DSC): For signing electronic documents.

4. Director Identification Number (DIN): For all proposed directors.

5. Memorandum of Association (MOA) and Articles of Association (AOA): Documenting the company’s objectives and internal regulations.

6. Proof of Registered Office: Utility bill and NOC from the property owner if the office is rented.
